State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Journey Medical Corporation (the “Company”) is unable to file its Quarterly Report on Form 10-Q (the “Form 10-Q”) for the period ended March 31, 2023 within the prescribed time period without unreasonable effort and expense to the Company. On May 16, 2023, the Company and East West Bank (“EWB”) entered into an amendment (the “Amendment”) to the terms of the Company’s existing revolving line of credit and term loan with EWB (the “EWB Facility”). The Company needs additional time to assess the finalization impact of the Amendment on its financial statements to be issued with the Form 10-Q, including to prepare appropriate disclosures, and reach a conclusion with respect to whether, after giving effect to the Amendment, there are conditions or events, considered in the aggregate, that cause substantial doubt to exist about the Company’s ability to continue as a going concern as of the date of issuance of the Company’s financial statements to be included in the Form 10-Q. The Company continues to explore other financing arrangements that would provide additional liquidity to fund the Company’s operations for the next twelve months. The Company will file the Form 10-Q within the 5-day extension period provided by Rule 12b-25.

While the Company is still reviewing and finalizing its first quarter fiscal 2023 financial results, it is able to provide certain preliminary results. The Company expects to report the following for the three months ended March 31, 2023:(a) Total net revenues for the three-month period ended March 31, 2023 of $12.2 million, compared to total net revenues for the three-month period ended March 31, 2022 of $23.3 million and (b) Net loss for the three-month period ended March 31, 2023 of $10.1 million, $0.57 per share basic and diluted, compared to a net loss for the three-month period ended March 31, 2022 of $1.4 million, or $0.08 per share basic and diluted.
These are preliminary results based on current expectations and are still under review and are subject to change. Actual results may differ.
