This Registration Statement is being filed by Journey Medical Corporation (the “Registrant”) for the purpose of registering an additional 3,000,000 shares of common stock issuable pursuant to the Registrant’s 2015 Stock Incentive Plan (the “Plan”). These additional shares of common stock are securities of the same class as other securities for which a Registration Statement on Form S-8 of the Registrant relating to the same stock incentive plan is effective.
